General conditions

1. The physical climate risk diagnosis (“the Diagnosis”) marketed under the name DPC is a product licensed from Tardigrade AI.
2. The Diagnosis consists of a summary document and Excel files containing historical and projected data of the hazards considered in the Diagnosis.
3. The Diagnosis applies to the asset whose GPS coordinates and postal address appear on the summary document in accordance with the data provided by the Beneficiary.
4. The Diagnosis and the data contained in the associated Excel files are the exclusive property of Tardigrade AI, which produces them under license or with the agreement of its partners and data suppliers.
5. The Diagnosis is for the exclusive use of the operator or owner of the asset (hereinafter referred to as the “Beneficiary”).
6. The Diagnosis is non-transferable.
7. The Beneficiary accepts all of the General Conditions.
8. The Beneficiary shall in particular refrain from:
a/ to assign, distribute or make available to any other party, in any manner whatsoever, the Diagnosis and the data produced by Tardigrade AI within the framework of the Diagnosis;
b/ to reproduce, copy, redistribute, broadcast, sell, trade, modify, reverse engineer, disassemble or decompile the Diagnostic and the data produced by Tardigrade AI;
c/ to place or allow the Diagnosis or any data produced by Tardigrade AI as part of the Diagnosis to be placed on a free website open or publicly accessible;
d/ to combine the Diagnosis with existing Beneficiary products without the prior authorization of Tardigrade AI;
e/ to use the Diagnostic and more generally the Tardigrade AI products in a manner other than for internal use or for regulatory reporting purposes.
9. The information in the Diagnostic is provided for informational purposes and in no way constitutes or should be considered to reflect the position of Tardigrade AI, particularly with respect to any pending or future litigation. Under no circumstances shall Tardigrade AI be liable for any loss or damage or cause of action of any kind in connection with the use of the information in the Diagnostic. The Diagnostic is produced based on the information available at the date it is produced. Tardigrade AI has no obligation to revise or update the Diagnostic as a result of new information, future events or otherwise.
10. The Beneficiary and Tardigrade AI expressly agree that any dispute or disagreement that may arise from the interpretation, execution or breach of the general terms and conditions by the Beneficiary will be exclusively governed by French law and subject to the jurisdiction of the French courts. In the event of non-compliance with the general terms and conditions by the Beneficiary, Tardigrade AI reserves the right to initiate any legal proceedings necessary to safeguard its interests and obtain full compensation for the damages suffered. All legal costs and attorneys' fees incurred to assert Tardigrade AI's rights will be borne by the Beneficiary.
